South Park Chamber of Commerce By-Laws Article I. Name The name of this organization shall be South Park Chamber of Commerce, Inc., hereafter in this document called Article II. Purpose The purpose of this organization is to support, encourage, and promote local and new businesses, tourism, recreational activities, and the quality of work in South Park. The South Park Chamber of Commerce does not discriminate in any way, including, but not limited to: sex, religion, ethnic origin, political or sexual orientation, educational background, physical limitations, and age. The South Park Chamber of Commerce strongly encourages its members to do likewise.
Article III. Membership Section 1. Qualifications. Membership is open to all individuals, businesses and non-profit organizations who live or work in the geographic area known as South Park.
Section 2. Definitions of Membership Entities. Individual is any property owner or resident who is not involved in a business in the defined geographic area. Business is an owner, operator or manager of a retail, commercial, or industrial establishment in South Park. Non-profit organization is any organization designated by the Colorado Secretary of State to be a non-profit or not for profit organization. Reciprocal and Honorary memberships may be granted by the Executive Committee or the Board of Directors at any time, for any period of time they deem necessary. The Executive Committee or the Board of Directors at any time, at their discretion, may exchange membership for services rendered.
Section 3. Revocation or Suspension. The Board of Directors, or the Executive Committee, may suspend or revoke a membership for cause. Any member whose professional conduct reflects badly upon the Chamber or South Park shall be informed in writing that the Chamber is considering a suspension of their membership. Failure of the member to respond to the warning or failure of the member to correct the offending conduct shall constitute grounds for the suspension or revocation of the next scheduled general membership meeting.
Article IV. Officers and Board Members Section 1. There shall be seven (7) elected Board of Directors who shall be dues paying members in good standing. Chamber Officers shall be President, Vice-President, Secretary, and Treasurer. Said Officers shall be elected by the Board of Directors and must be members of the Board of Directors. The Chamber Officers shall function as the Executive Committee. Term of office for the Board of Directors and Chamber Officers shall be two (2) years. The terms may overlap to provide continuity. The Executive Committee shall be responsible for the day to day operation of the Chamber.
Section 2. Duties. A. President shall preside at all meetings of the Chamber of Commerce and shall supervise and control all affairs of the Chamber. The President shall appoint committee chairmen with a consensus of the members present and voting at a given official meeting. The President, with the approval of a majority of the Board of Directors, may enter into contracts on behalf of the Chamber. B. Vice-president shall serve in the absence of the President. Vice-president shall also serve as events coordinator. C. Secretary shall keep and maintain a current copy of the by-laws; minutes of all general membership and Board of Directors meetings and shall pass intact all such records to their successor within 60 (sixty) days of change of Secretary. Secretary shall be responsible for all official correspondence of the Chamber, or appoint (with approval of the other Board of Directors) an assistant of Communications; shall issue notices to all directors and members, shall post public notices of meetings, and, in general, perform all duties common to the office of the Secretary. D. Treasurer shall have custody and responsibility for all funds of the Chamber, shall pay all bills incurred by the Chamber with the co-signature of any officer. Checks under $100.00 require only the signature of the Treasurer. The Treasurer shall keep a roster consisting of name, address, telephone number, and e-mail address of all active members and shall share such roster and updates with the Secretary quarterly. Treasurer shall keep books of account and provide quarterly financial reports at each quarterly Chamber meeting. Treasurer shall submit a budget to the officers and the Board of Directors by November 1st, for the following calendar year, and shall serve as chairman of the finance committee, when and if one is formed. Said budget to be approved by the members present at the last calendar quarterly meeting.
Section 3. Removal of Officers and Board Members. If an Officer of Board Member has their membership suspended or revoked, in accordance with Article III, Section 3, they may also be removed from the Board of Directors at a meeting of the Board or a general membership meeting, provided a quorum is present. The vacancy may be immediately filled according to Article VI, Section 3.
Article V. Meetings. Section 1. The Chamber Membership shall meet at least quarterly. Robert
